Das österreichische Übernahmerecht hat durch das Inkrafttreten des Übernahmerechts-Änderungsgesetzes 2006 tief greifende Änderungen erfahren. Dadurch hat sich in der letzten Dekade die Entscheidungspraxis der Übernahmekommission und jüngst auch des Obersten Gerichtshofs zu Kernfragen des materiellen Übernahmerechts wesentlich weiterentwickelt - zu diesen Kernfragen zählen etwa gemeinsames Vorgehen, Hinzurechnung von Beteiligungen, Syndikate, passive Kontrollerlangung, Ausnahmen von der Angebotspflicht, Sanierungssachverhalte und Mindestangebotspreis sowie Ruhen der Stimmrechte. Die vorliegende Neuauflage des Kommentars bietet einen systematischen, aber auch kritischen Überblick über diese Judikatur und versucht wie die Vorauflage, für Problemstellungen, zu denen noch keine Entscheidungen vorliegen, Lösungen zu entwickeln.
